1. Introduction
This Seller Agreement (“Agreement”) governs the relationship between Zokroo (“Website”, “Company”, “We”, “Us”, or “Our”) and the third-party seller (“Seller”, “You”).
By registering as a seller on Zokroo and listing products, you agree to comply with this Agreement.
2. Eligibility
Sellers must be 18 years or older and legally capable of entering into contracts.
Must provide valid GST registration (if applicable), PAN, and bank account details.
Must comply with all applicable Indian laws, regulations, and marketplace policies.
3. Account Creation & Responsibilities
Provide accurate personal and business information during registration.
Maintain confidentiality of your account credentials.
Immediately notify Zokroo of any unauthorized use.
Responsible for all activities under your seller account.
4. Product Listing & Compliance
Sellers are solely responsible for:
Product authenticity, quality, and safety
Accurate product descriptions, images, and pricing
Compliance with Indian laws and regulations
Prohibited items (illegal, counterfeit, banned substances) cannot be listed.
Zokroo reserves the right to remove or block any listing violating policies.
5. Order Fulfillment
Sellers must:
Process and dispatch orders on time
Use reliable courier partners
Ensure proper packaging and labeling
Zokroo is not responsible for seller delays or courier issues.
6. Returns, Refunds & Cancellations
Sellers must comply with Zokroo’s Return, Refund & Cancellation Policy.
Sellers are responsible for:
Accepting eligible returns
Issuing refunds or replacements in a timely manner
Zokroo may intervene in disputes to facilitate resolution.
7. Commissions & Payments
Zokroo charges a commission/fee on each successful transaction.
Payment to sellers will be net of commission, transferred via bank account.
Payment schedule and TDS (if applicable) will follow Indian tax regulations.
8. Intellectual Property
Sellers must not infringe any third-party IP rights.
Sellers grant Zokroo a non-exclusive license to display, market, and promote products on the Website.
9. Prohibited Activities
Sellers shall not:
Manipulate ratings, reviews, or search results
Use multiple accounts to bypass commission or policy rules
Violate laws or Zokroo policies
List counterfeit, pirated, or illegal products
Violation may result in account suspension, listing removal, or legal action.
10. Termination
Zokroo may suspend or terminate seller accounts for:
Policy violations
Legal or regulatory non-compliance
Fraudulent or unethical behavior
Sellers may terminate by giving notice to Zokroo.
Outstanding payments will be settled as per policy.
11. Limitation of Liability
Zokroo is not liable for any direct or indirect damages arising from seller transactions, disputes, or customer complaints.
Zokroo acts only as a facilitator of the marketplace.
12. Governing Law & Dispute Resolution
Governed by Indian law.
Disputes subject to courts in Surat, Gujarat.
Parties shall attempt mutual resolution before legal action.
